TERMS AND CONDITIONS OF SALE

ARTICLE 1 — SCOPE AND IDENTIFICATION OF THE PARTIES

These Terms and Conditions of Sale (hereinafter referred to as "the Terms" or "T&Cs") govern in a comprehensive and enforceable manner all contractual relationships established between:

On the one hand, CONDOR LAB LIMITED, a company incorporated under the laws of Hong Kong, registered under number 79854301, with its registered office at RM03, 24/F, Ho King Commercial Centre, 2-16 Fayuen Street, Mong Kok, Hong Kong (hereinafter referred to as "the Company", "we" or "CONDOR LAB"), exclusive operator of the e-commerce platform accessible at https://www.georgemilton.store/ (hereinafter "the Website"),

And on the other hand, any adult natural person or legal entity (hereinafter "the Customer") purchasing products sold on the Website for their private personal use or in the context of their professional activity.

These T&Cs apply, without restriction or reservation, to all sales of products concluded through the Website, to all territories served by the Company. Given the geographical distribution of its customer base, CONDOR LAB LIMITED commits to complying with the protective provisions arising from the following legislation, among others:

Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights, and its national transpositions in EU Member States;

The French Consumer Code, in all its provisions relating to distance and off-premises contracts;

Regulation (EU) 2016/679 on the protection of personal data (GDPR);

Directive 1999/44/EC on certain aspects of the sale of consumer goods and associated guarantees, as amended by Directive 2019/771/EU.

These T&Cs must be read in conjunction with the Privacy Policy, the Return and Refund Policy, the Shipping Policy and the Terms of Service published on the Website, all of which together form an inseparable contractual whole governing the relationship between CONDOR LAB LIMITED and the Customer.


ARTICLE 2 — PRODUCTS — AVAILABILITY — PRESENTATION

2.1 — Product Description and Presentation

CONDOR LAB LIMITED specialises in the sale of premium and luxury rugs, each piece being carefully selected for the quality of its materials (wool, silk, cotton, natural fibres), the refinement of its craftsmanship and the originality of its design. Each rug is described on the Website with its dimensions, materials, origin, specific characteristics and care instructions, in order to provide the Customer with the most complete and accurate information possible prior to purchase.

The photographs, illustrations, texts and technical information appearing on the Website are provided for informational and documentary purposes and shall not be considered as having strict contractual value. Slight colour variations between the photographs published on the Website and the products actually delivered shall not constitute a defect of conformity liable to engage the Company's liability, such variations resulting from the inherent limitations of digital display technologies and the natural characteristics of the materials used.

Furthermore, given the artisanal and handcrafted nature of the products sold, very slight irregularities may be inherent to the piece and are testament to its authenticity and quality of manufacture. These natural characteristics shall under no circumstances be considered as manufacturing defects.

2.2 — Product Availability

Product offers presented on the Website are valid within the limits of available stock and for as long as they remain visible on the Website. CONDOR LAB LIMITED reserves the right to modify, suspend or withdraw any commercial offer at any time and without prior notice, without this decision engaging the Company's liability towards Customers who have not yet validated their order.

2.3 — Unavailability Following Order Validation

In the event that a product ordered and paid for by the Customer becomes unavailable following order validation, due in particular to an unforeseen stock shortage, CONDOR LAB LIMITED commits to informing the Customer without undue delay by electronic means. The Customer shall then be offered, at their exclusive choice:

A reasonable additional delivery timeframe corresponding to the estimated restocking period for the product concerned;

A full and free-of-charge refund of the amount actually paid for the unavailable product;

A like-for-like exchange at no extra cost to the Customer against an item of equivalent or superior value available in the catalogue.

No additional compensation or penalty may be claimed from CONDOR LAB LIMITED in this scenario.


ARTICLE 3 — ORDER FORMATION AND CONCLUSION OF THE SALES CONTRACT

3.1 — Order Process

The formation of the sales contract between CONDOR LAB LIMITED and the Customer takes place through the following successive and cumulative contractual steps:

  1. Product selection: the Customer selects the items of their choice from the catalogue available on the Website and adds them to their virtual shopping cart;
  2. Customer identification: the Customer creates a customer account or logs into an existing account, and provides all information necessary for the proper fulfilment of the order (contact details, delivery address, billing address);
  3. Order validation: the Customer reviews the detailed order summary (products, quantities, prices, delivery costs), expressly accepts these T&Cs and all applicable policies, and definitively validates their order;
  4. Secure payment: the Customer proceeds with payment of the order via one of the payment methods available on the Website;
  5. Order confirmation: an electronic acknowledgement summarising the essential information of the order is sent to the Customer at the email address provided when placing the order.

The sales contract is deemed definitively concluded between CONDOR LAB LIMITED and the Customer upon validation of payment and dispatch of the order confirmation email. CONDOR LAB LIMITED reserves the right to refuse or cancel any order presenting abnormal or suspicious characteristics, in particular in the event of suspected fraud.

3.2 — Order Modification and Cancellation

Any request to modify or cancel an already validated and paid order must be submitted without delay to customer service at contact@georgemilton.store. CONDOR LAB LIMITED shall use its best efforts to accommodate such request, provided the order has not yet been dispatched. Once the dispatch stage has been reached, modification or cancellation of the order shall no longer be possible, and the Customer must if necessary exercise their right of withdrawal in accordance with Article 6 of these T&Cs.


ARTICLE 4 — PRICING AND PAYMENT TERMS

4.1 — Pricing

Product prices displayed on the Website are expressed in euros (€), inclusive of all taxes (VAT included) for Customers residing within the European Union. For Customers residing outside these territories, customs duties, import taxes and other mandatory local levies may be added to the displayed price in accordance with the regulations of the destination country, and remain the exclusive responsibility of the Customer.

Delivery is offered free of charge on all orders, with no minimum purchase requirement, regardless of the destination zone, the dimensions or the weight of the product ordered.

CONDOR LAB LIMITED reserves the right to modify its prices at any time and without prior notice, it being expressly stated that any price change shall have no effect on orders already validated and paid by the Customer prior to such modification.

4.2 — Accepted Payment Methods

Orders are settled exclusively via the following secure payment methods available on the Website:

Bank cards: Visa, Mastercard, American Express, Bank Cards;

Digital wallets: Apple Pay, PayPal;

Integrated payment solution: Shop Pay.

4.3 — Transaction Security

All financial transactions carried out on the Website are processed by PCI-DSS certified payment providers (Payment Card Industry Data Security Standard), guaranteeing the highest level of security in the processing of payment data. CONDOR LAB LIMITED does not directly collect, retain or process any raw banking data of the Customer (card number, expiry date, visual security code).

4.4 — Chargeback Policy

Any recourse to the chargeback mechanism without legitimate grounds and prior contact with CONDOR LAB LIMITED's customer service shall be considered a characterised fraud attempt. The Company reserves the right in such cases to permanently suspend the relevant customer account, to transmit the elements constituting the fraud to the competent authorities, and to initiate against the offending Customer any appropriate civil or criminal legal proceedings for the purpose of obtaining full compensation for the damages suffered.


ARTICLE 5 — DELIVERY

The terms and conditions of delivery, the geographical zones served, the carrier partners used, the indicative delivery timeframes, the Customer's obligations and the conditions applicable in the event of delay, delivery failure or transport incident are fully defined in CONDOR LAB LIMITED's Shipping Policy, published on the Website and expressly incorporated into these T&Cs by reference.

As a reminder, delivery is guaranteed within a maximum period of ten (10) business days from payment confirmation, and is offered free of charge on all orders without exception.


ARTICLE 6 — RIGHT OF WITHDRAWAL AND RETURNS

In accordance with the mandatory provisions of Article L. 221-18 of the French Consumer Code and Directive 2011/83/EU, any Consumer residing within the European Union has a statutory and non-waivable right to withdraw from the purchase within fourteen (14) calendar days from receipt of the products, without having to justify their decision or incur any penalty of any kind.

All terms for exercising the right of withdrawal, return eligibility conditions, applicable exclusions, refund procedures and exchange conditions are fully defined in CONDOR LAB LIMITED's Return and Refund Policy, published on the Website and expressly incorporated into these T&Cs by reference.


ARTICLE 7 — LEGAL GUARANTEES AND CONFORMITY

7.1 — Applicable Legal Guarantees

Independently of any commercial warranty that may be offered by CONDOR LAB LIMITED, the Customer benefits by operation of law from the following statutory guarantees, in accordance with the provisions applicable in their country of residence:

For Customers residing within the European Union and in France:

The statutory guarantee of conformity, provided for under Articles L. 217-1 et seq. of the French Consumer Code, which entitles the Customer to obtain repair or replacement of the non-conforming product, or failing that, a price reduction or termination of the contract;

The statutory guarantee against latent defects, provided for under Articles 1641 et seq. of the French Civil Code, which entitles the Customer to obtain a refund of the purchase price or a price reduction, at their choice.

It is expressly recalled that, given the premium and partly artisanal nature of the products sold, the statutory guarantee of conformity shall not cover characteristics inherent to the handcrafted nature of the product, such as very slight dimensional variations or minor natural irregularities in the weave, which are expressly mentioned in the product description and constitute a characteristic of the product's authenticity rather than a defect.

7.2 — Exclusions from Guarantee

The aforementioned statutory guarantees do not cover damage, defects or malfunctions resulting from:

Normal and natural wear of the product following use over time;

Misuse, negligence, carelessness or use not in accordance with the care and maintenance recommendations provided with the product;

Modification, personalisation, cutting to size or any intervention carried out on the product by the Customer or by a third party not mandated by CONDOR LAB LIMITED;

Accident, shock, water immersion, exposure to chemicals or any other external event unrelated to the product itself;

Improper maintenance, including use of inappropriate cleaning products or methods not recommended for the type of rug concerned.


ARTICLE 8 — LIABILITY OF THE COMPANY

To the extent permitted by applicable mandatory legal provisions, and in particular by consumer protection legislation in force within the European Union, CONDOR LAB LIMITED shall not be held liable for indirect, consequential, incidental, immaterial or punitive damages resulting from the use of the products sold on the Website or access to the Website, including in particular: loss of revenue, loss of data, loss of profits, commercial or moral damages.

In all circumstances, the contractual liability of CONDOR LAB LIMITED, should it be engaged, is expressly limited to the total amount of the disputed order actually paid by the Customer.

It is expressly recalled that the statutory rights of Consumers residing within the European Union, as arising in particular from the French Consumer Code and Directive 2011/83/EU, remain fully applicable and shall not be reduced or excluded by these T&Cs.


ARTICLE 9 — AMICABLE DISPUTE RESOLUTION

In the event of a dispute relating to the performance, interpretation or application of these T&Cs, the Customer is invited to first contact the customer service of CONDOR LAB LIMITED at contact@georgemilton.store, in order to seek a rapid and amicable resolution of the dispute within a period of thirty (30) calendar days from the initial contact.

In accordance with Article L. 612-1 of the French Consumer Code, should satisfactory amicable resolution not be reached within this period, Consumers residing in France have the right to resort free of charge to a competent consumer mediator. For cross-border disputes within the European Union, the Customer may also refer the matter to the Online Dispute Resolution (ODR) platform made available by the European Commission at: https://ec.europa.eu/consumers/odr


ARTICLE 10 — GOVERNING LAW AND JURISDICTION

These T&Cs are governed, for Consumer Customers residing within the European Union, by the mandatory provisions of the law of the Customer's country of residence, in accordance with Regulation (EC) No 593/2008 of 17 June 2008 (Rome I) and Regulation (EU) No 1215/2012 of 12 December 2012 (Brussels I bis). The statutory rights of the Consumer arising from the mandatory provisions of the law of their habitual residence shall in all circumstances remain fully applicable.

In the absence of an amicable agreement, disputes shall fall within the jurisdiction of:

For Consumer Customers: the competent courts of the Customer's country of residence, in accordance with applicable consumer law;

For Professional Customers: the competent courts of Hong Kong, unless mandatory legal provisions provide otherwise.


ARTICLE 11 — MISCELLANEOUS PROVISIONS

11.1 — Severability

Should any provision of these T&Cs be declared null, unlawful or unenforceable by a competent court, the remaining provisions shall remain in full force and effect, without prejudice to their binding force.

11.2 — Entire Agreement

These T&Cs, read in conjunction with all policies published on the Website, constitute the entire agreement between CONDOR LAB LIMITED and the Customer with respect to the subject matter hereof, and supersede any prior agreement, commitment or document relating to the same subject matter.

11.3 — Non-Waiver

The fact that CONDOR LAB LIMITED does not, at any given time, enforce any provision of these T&Cs shall not be construed as a permanent waiver of the benefit of that provision.
